Here you will find the terms of sale for Virio's paid services for companies. Among other things, the terms describe prices, payment, subscription, verification, cancellation and the terms that apply when a company purchases access to a verified company profile on virio.dk.
1. General
These terms of sale apply to the purchase of paid services from Virio ApS, including a subscription to a verified company profile on virio.dk.
Agreements are concluded between Virio ApS and the company or trader making the purchase. Virio's paid services are offered to traders and are therefore not intended for private consumers.
By purchasing a paid service, the customer accepts the terms of sale that apply at the time the agreement is concluded.
2. Verified company profile
Virio gives companies the option to access and manage an expanded company profile on virio.dk through the Verified company service.
What does a verified company profile include?
A verified company profile gives the company access to features and information that are not necessarily available on the ordinary company profile.
The specific features may be developed and changed over time. A description of the features included at the time of purchase is available on virio.dk.
Publicly available company information, such as master data, industry information, roles and financial information, may continue to be displayed on Virio regardless of whether the company has purchased a verified profile.
What does verified mean?
The label “Verified company” means that Virio has completed Virio's applicable verification process for the person or account that manages the company profile.
The verification is not a recommendation, certification or quality assessment of the company and does not mean that Virio guarantees the company's products, services, finances, trustworthiness or other matters.
3. Creation and verification
To gain access to a verified company profile, the customer must complete the verification process made available by Virio.
Virio may, among other things, use the company's email domain, company information or other relevant methods to verify the user's affiliation with the company.
Right to represent the company
The person who creates or purchases a verified company profile simultaneously declares that they are entitled to act on the company's behalf or have obtained the necessary permission to do so.
Virio may request additional documentation if there is doubt about the user's right to manage the company profile.
Virio reserves the right to refuse or revoke a verification if the necessary information cannot be verified, or if there is reasonable suspicion of misuse.

The applicable prices are always shown on virio.dk in connection with the order.
All prices aimed at companies are stated excluding VAT as a starting point, unless otherwise expressly stated.
Virio may change the prices for future subscription periods. Price changes do not take effect for a subscription period that has already been paid.
In the event of price changes to an existing subscription, the customer will be informed before the next renewal.
5. Ordering and conclusion of the agreement
An agreement is considered concluded when the customer has completed the order and received an order confirmation from Virio.
The customer is responsible for ensuring that the information provided when ordering is correct and up to date.
Virio may refuse an order if there are errors in the information, suspicion of misuse, an inability to verify or other legitimate reasons.
6. Payment
Payment is made via the payment methods that Virio makes available at the time of ordering.
If payment is made by payment card, the amount is charged in connection with the purchase or the renewal of the subscription in accordance with the information provided when ordering.
If Virio offers payment by invoice, the payment deadline stated on the invoice applies.
Missing payment
If payment is not made on time, Virio may suspend access to the paid features until payment has been received.
Virio may also terminate the subscription in the event of continued non-payment.
Any closure of the paid access does not necessarily mean that the company's ordinary profile or publicly available company information is removed from Virio.
7. Subscription period and renewal
The subscription to Verified company runs for 12 months from the purchase date.
The subscription then renews automatically for a further 12 months at a time, unless the subscription is cancelled before the next renewal date.
Upon automatic renewal, the subscription price applicable at the time of renewal is charged.
The customer can view information about the subscription and the upcoming renewal via their account, where this feature is available.
8. Cancellation
A subscription can be cancelled with effect from the end of the current subscription period.
Cancellation therefore does not entail a refund of subscription amounts already paid, and the customer retains access to the paid features until the end of the subscription period.
After the subscription expires, the company's profile may continue to exist on Virio with the ordinary information that Virio makes available on non-paid company profiles.
9. No right of withdrawal
Virio's paid services are offered to companies and traders.
As this is a business agreement (B2B), the general 14-day right of withdrawal for consumers under the Danish Consumer Contracts Act does not apply.
However, Virio may, at its own discretion, accept cancellation or a refund in special cases.
10. The customer's company profile and content
The customer is responsible for the information and material that the customer adds to the company profile themselves.
This may include, for example:
company description
logo
images
contact information
website
history
other information and material.
The customer must ensure that the information is correct and that the customer has the necessary rights to the material that is uploaded.
Rights to material
The customer retains ownership and other rights to material that the customer uploads themselves.
By uploading, the customer grants Virio a non-exclusive right to store, process, adapt and display the material on Virio's services to the extent necessary to provide the service.
This right of use generally ends when the material is removed, unless Virio has another lawful basis for continued storage.
11. Prohibited content and misuse
Virio's services must not be used for unlawful, misleading or infringing purposes.
Virio may, among other things, remove content or suspend an account if the content:
is unlawful,
is obviously misleading,
infringes the rights of third parties,
contains harmful code or spam,
pretends to represent another company,
or otherwise misuses Virio's services.
As a starting point, Virio will attempt to contact the customer before significant restrictions are imposed, unless the nature of the matter requires immediate action.
12. Information from public and external sources
Virio may display company information obtained from public registers and other data sources.
This information exists independently of the customer's subscription to Virio.
A subscription therefore does not give the customer the right to demand that public or other lawfully processed information be removed solely as a result of the subscription ending.

13. Availability and changes to the service
Virio strives to keep the services available and functional but does not guarantee uninterrupted or error-free access.
Temporary disruptions may occur in connection with maintenance, updates, technical problems or circumstances at third-party providers, among other things.
Virio may continuously develop and change the service's features and design.
Material changes that significantly reduce the functionality of a paid subscription will, as far as possible, be notified in advance.
14. Virio's liability
Virio is liable under the general rules of Danish law, with the limitations set out in these terms of sale.
Virio cannot guarantee that information from public registers or external data sources is complete, current or error-free at all times.
Virio is not liable for indirect losses, operating losses, lost profits, loss of data, loss of goodwill or other consequential damages, unless otherwise provided by mandatory law.
Virio's total liability in connection with a paid subscription cannot, to the extent permitted by law, exceed the amount the customer has paid to Virio for the service in question within the last 12 months.
The limitation of liability does not apply in cases of intent or gross negligence where such a limitation cannot be asserted under Danish law.
15. The customer's account and security
The customer is responsible for protecting the login credentials for their Virio account and for activities carried out via the account.
Login credentials must not be made available to unauthorized persons.
The customer must contact Virio as soon as possible if they suspect unauthorized access to or misuse of the account.
Virio may temporarily block an account if deemed necessary for security reasons.
16. Changes to the terms of sale
Virio may change these terms of sale from time to time.
Material changes that affect existing customers' rights or obligations will be notified with reasonable notice.
Minor changes, linguistic clarifications or changes resulting from legislation may be made without separate notice.
The latest version of the terms of sale will always be available on virio.dk.
17. Personal data
Virio processes personal data in connection with the creation of accounts, verification, payment, administration and delivery of services.
